Terms & conditions

1. General

a) Definitions: In these Terms & Conditions, “The Homemade Brownie Company Limited” shall be referred to as the Seller, and the purchaser shall be referred to as the Buyer.

b) Applicability: These Terms & Conditions take precedence over any other terms provided by the Buyer, including any standard purchase terms. Except as permitted by law, these Terms & Conditions supersede any other guarantees, conditions or warranties.

c) Modification: Any variation to these Terms & Conditions must be expressly agreed upon in writing by the Seller.

d) Governing Law: All transactions and agreements between the Seller and the Buyer, whether written or verbal, are governed by the laws of England and Wales.

e) Third-Party Rights: No third party shall have rights under these Terms & Conditions or any related agreements, in accordance with the Contracts (Rights of Third Parties) Act 1999.

2. Pricing

a) VAT: Prices include zero-rated VAT (0%) on all products, with the exception of some non-brownie products that include standard-rated VAT (20%).

3. Delivery

a) Dispatch Schedule: Orders will be dispatched on the last working day (Monday to Friday, excluding Bank Holidays) prior to the specified delivery date provided by the Buyer.

b) Delivery Liability: The Seller accepts no liability for delivery delays post-dispatch.

4. Payment

a) Terms of Payment: Payments are due as specified on the invoice or website unless explicitly agreed otherwise.

b) Late Payments: The Seller reserves the right to charge interest on overdue payments at 8% per annum above the Bank of England base rate, calculated daily from the due date until full payment is received.

c) Recovery Fees: In line with the Late Payment of Commercial Debts (Interest) Act 1998, the Seller reserves the right to charge a fixed sum for costs incurred in recovering late payments.

d) Debt Collection: The Seller reserves the right to recover any additional costs related to collecting overdue payments, including fees for debt recovery agents and solicitors.

5. Queries

a) Product or Service Queries: Queries regarding products or services received should be emailed to office@homemadebrownie.co.uk within 2 days of receipt.

b) Invoice Queries: For any queries about quantities or pricing, please contact office@homemadebrownie.co.uk within 2 days of receiving the invoice.

6. Returns

a) Returns Policy: Products that are supplied correctly per the order cannot be returned for a refund, unless explicitly agreed by the Seller.

7. Complaints

a) Resolution Process: We are committed to providing the highest quality service. If you have a complaint, please email adam@homemadebrownie.co.uk. We will investigate and respond within 2 working days (Monday to Friday, excluding Bank Holidays and business shutdowns).

8. Liability

a) Liability Limitation: The Seller’s liability to the Buyer, to the fullest extent permitted by law, is limited to the value of the products or services supplied.

b) Exclusion of Consequential Loss: The Seller shall not be liable for any indirect or consequential losses arising from any defect or alleged defect in products or services supplied.

c) Buyer Indemnity: The Buyer agrees to indemnify the Seller against any damage, injury, loss, actions or claims arising from the condition or use of the products or services, particularly where caused partly or wholly by the Buyer, their employees or agents, or due to any breach by the Buyer.

9. Confidentiality

a) Confidential Information: The Buyer agrees to treat as confidential any information provided by the Seller marked as confidential and to not disclose it to third parties.

b) Online Access: The Buyer is responsible for ensuring that any authorised users of the Seller’s online ordering system do not share usernames, passwords or other access credentials with others.
